Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and joey ELM (“joey,” “we,” “us,” or “our”) and govern your access to and use of the joey electronic lab management platform, including the website, applications, and related services (together, the “Service”). By creating an account, checking the box to accept these Terms, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 16 years old, or the age of digital consent in your jurisdiction, and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, institution, or research group (a “Lab”), you represent that you are authorized to bind that organization to these Terms.

You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly at support@joeyelm.com if you suspect unauthorized use. You may authenticate with an email and password or through a third-party provider such as Google; your use of a third-party sign-in is also subject to that provider’s terms.

2. The Service

joey is a tool for capturing, organizing, and collaborating on research records — including experiments, protocols, results, literature, inventory, equipment, and tasks — together with AI-assisted features such as a research assistant, literature search, and digitization of handwritten notes. We may add, change, or remove features at any time. The Service is provided for research and record-keeping productivity only.

3. AI features and important limitations

The Service includes features powered by third-party artificial-intelligence models (see the Privacy Policy for the providers we use). When you use these features, your prompts and the relevant content from your workspace are sent to those providers to generate a response.

  • No professional or clinical reliance. AI output may be inaccurate, incomplete, or misleading (“hallucinated”). It is not scientific, medical, legal, safety, or regulatory advice. You are solely responsible for independently verifying any output before relying on it, and you must not use the Service as a medical device or for clinical, diagnostic, or patient-care decisions.
  • You approve what is saved. AI-drafted entries (including digitized notes and drafted protocols) are suggestions that you review and confirm; you are responsible for the content you choose to save.
  • Safety-critical work. You are responsible for following your institution’s safety, ethics, biosafety, and compliance requirements. Do not rely on the Service to ensure the safety of any experiment or procedure.

4. Your content and ownership

You retain all rights in the content you create, upload, or store in the Service (“Your Content”), including notebook entries, images, files, and data. We do not claim ownership of Your Content.

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, and display Your Content solely as needed to operate, secure, and improve the Service and to provide the features you use (for example, sending content to an AI provider when you invoke an AI feature, or displaying it to members of your Lab when you share it). This license ends when Your Content is deleted, except for residual copies retained transiently or in backups for a limited period, and except where retention is required by law.

You represent that you have the rights necessary to submit Your Content and that it does not infringe others’ rights or violate any law or agreement (including your institution’s data-handling and intellectual-property policies).

5. Labs and sharing

You can create a Lab or join one using an invitation code, and you can choose to share content within your Lab. When you share content with a Lab, other members and administrators of that Lab may view, use, and (depending on their role) modify or export it. You are responsible for what you choose to share and with whom. We are not responsible for how other Lab members use content that you have shared with them.

6. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service in violation of any law, regulation, or third-party right, or to store or transmit unlawful, infringing, or harmful content;
  • upload personal data of patients or human subjects, protected health information, or other sensitive or regulated data unless you have the legal right and all consents to do so and have satisfied yourself that the Service is an appropriate place to store it;
  • attempt to gain unauthorized access to the Service, other accounts, or Labs you do not belong to, or interfere with or disrupt the integrity or performance of the Service;
  • reverse engineer, scrape, or use automated means to access the Service except through documented interfaces, or use it to build a competing product or to train machine-learning models;
  • probe, scan, or test the vulnerability of the Service, or circumvent any security or access controls, except under a written authorization from us;
  • misuse the AI features to generate content that is illegal, that facilitates the creation of weapons or other serious harm, or that violates the AI providers’ usage policies.

7. Third-party services

The Service relies on third-party providers (for hosting, storage, authentication, AI processing, and literature databases) and may link to third-party resources. We are not responsible for third-party services, and your use of them may be governed by their own terms and privacy policies.

8. Our intellectual property

The Service, including its software, design, branding, and content we provide (but excluding Your Content), is owned by joey ELM or our licensors and is protected by intellectual- property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service. We reserve all rights not expressly granted.

9. Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you.

10. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if necessary to protect the Service or other users. On termination, your right to use the Service ends. We will make Your Content available for export for a reasonable period where practicable, after which it may be deleted in accordance with our Privacy Policy. Sections that by their nature should survive termination will survive.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DATA WILL NOT BE LOST, OR THAT AI OUTPUT WILL BE ACCURATE. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF CRITICAL DATA.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOEY ELM AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You will indemnify and hold harmless joey ELM and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your breach of these Terms, except to the extent caused by our own gross negligence or willful misconduct.

14. Governing law and disputes

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of- law rules. You agree to the exclusive jurisdiction of the state and federal courts located in Tompkins County, New York for any dispute not subject to mandatory local law or arbitration, and to first attempt to resolve disputes with us informally by contacting support@joeyelm.com.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new date or by notifying you in the Service). Your continued use after the changes take effect constitutes acceptance. If you do not agree, stop using the Service.

16. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
